Welcome to Wholesale Select. These Terms & Conditions (“Terms”) apply to all sales, orders, and account activities between Wholesale Select (“we”, “our”, “us”) and the customer (“you”, “your”). By accessing our website www.wholesaleselect.com.au, placing an order, or opening a credit account, you agree to be bound by these Terms.

We are a registered Australian wholesaler and distributor supplying FMCG, cleaning, packaging, confectionery, and general merchandise products to businesses, service stations, retailers, and families.

2. Pricing and Quotations

• All prices are quoted in Australian Dollars (AUD) and are subject to change without notice.

• Prices are based on current supplier, freight, and market rates at the time of quotation or order.

• Unless otherwise stated, prices are Ex-Warehouse (Sydney) and exclude delivery and GST.

• Any typographical or pricing errors on our website or invoices may be corrected without prior notice.

• Promotional pricing and offers apply only during advertised periods.

3. Orders and Acceptance

• Orders can be placed via our website, sales representatives, or email.

• An order is only accepted once confirmed by Wholesale Select in writing or by issue of an invoice.

• We reserve the right to cancel or limit quantities if stock is unavailable or if we suspect misuse of credit facilities.

• Minimum order quantities may apply to certain product lines.

4. Delivery and Risk

• Deliveries are made to the address provided at checkout or on your account.

• Delivery times are estimates only and may vary due to carrier delays, availability, or external factors.

• Risk in goods passes to the customer upon delivery or collection.

• Customers must inspect all goods upon delivery and report any discrepancies, damages, or shortages within 24 hours.

• Claims made after this period will not be accepted.

5. Returns and Credits

• Returns will only be accepted if pre-approved and accompanied by relevant invoice details.

• Claims for incorrect or damaged goods must be made within 5 days of delivery.

• Perishable, food, or hygiene products cannot be returned once delivered unless proven faulty or supplied in error.

• A 12.5% restocking fee may apply for non-faulty goods.

• After 90 days, no credits or returns will be accepted.

• Refunds are processed to the original payment method once goods are received and verified.

6. Payment Terms

• Payment must be made in accordance with the agreed credit terms or prior to dispatch for prepaid orders.

• We accept payments via EFT, credit card, or other approved payment methods.

• Overdue accounts may incur interest at 15% per annum, compounded monthly, until paid in full.

• All collection, recovery, or legal costs incurred due to late or non-payment will be charged to the customer.

• Title to all goods remains with Wholesale Select until full payment is received.

7. Credit Accounts

• Credit terms may be offered at our discretion following assessment of a completed credit application.

• By applying for credit, you authorise us to obtain, exchange, or verify information from credit reporting agencies and trade references under the Privacy Act 1988 (Cth).

• Directors or proprietors may be required to personally guarantee payment obligations.

• We may suspend or withdraw credit terms at any time if payment obligations are not met.

8. Product Availability and Substitution

• Product descriptions, packaging, and specifications may vary from those displayed online due to ongoing supplier changes or improvements.

• We reserve the right to substitute equivalent items if an ordered product becomes unavailable.

• “Ex-stock” items are subject to prior sale.

9. Cancellation of Orders

• Cancellations must be made in writing and are subject to our approval.

• Orders already processed, picked, or dispatched cannot be cancelled.

• Any costs incurred for goods, labour, or packaging up to the point of cancellation will be charged in full.

10. Liability and Warranty

• Wholesale Select supplies goods in good faith and fit for their intended commercial purpose.

• To the extent permitted by law, our liability is limited to replacement or refund of goods supplied.

• We are not liable for indirect, incidental, or consequential losses arising from the use or supply of goods.

• We do not provide extended warranties on consumable or perishable products.

11. Customer Responsibilities

• You must ensure all delivery details and order information provided are accurate and complete.

• Customers are responsible for inspecting goods upon delivery and verifying quantities and conditions.

• Failure to notify discrepancies within 24 hours will be deemed acceptance of delivery in full.

• Goods left unattended at the customer’s request are at the customer’s own risk.

12. Retention of Title

• Ownership of goods remains with Wholesale Select until payment in full is received.

• Until ownership passes, the customer must store goods separately and clearly marked as our property.

• If the customer resells or uses the goods, proceeds must be held in trust for Wholesale Select until full payment is made.

13. Limitation of Liability

• To the fullest extent permitted by law, Wholesale Select’s total liability for any claim, whether in contract, tort, or otherwise, shall not exceed the total price of the goods supplied under the relevant transaction.

• Wholesale Select is not liable for any loss of profit, revenue, data, or business opportunity resulting from the use or non-delivery of goods.

14. Privacy and Data Protection

• Personal information collected through our website or business dealings is handled in accordance with our Privacy Policy.

• By submitting your information, you consent to its collection, use, and storage for order processing, communication, and marketing purposes in compliance with Australian privacy laws.

15. Force Majeure

• We shall not be liable for delays or failure in performance caused by events beyond our reasonable control, including but not limited to industrial disputes, supplier shortages, transport delays, natural disasters, or pandemics.

16. Governing Law and Jurisdiction

• These Terms are governed by the laws of New South Wales, Australia.

• Any dispute shall be resolved in a NSW court or through arbitration as deemed appropriate.

17. Updates to These Terms
